Terms of Use

These terms govern your access to and use of Memberley. Please read them carefully — they include important information about your rights, responsibilities, and limits on our liability.

Acceptance of terms

By accessing or using Memberley (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Accounts

To use the Service you must create an account and provide accurate, current information. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must notify us promptly of any unauthorized access or suspected breach of security. We are not liable for losses caused by unauthorized use of your account that you could have prevented.

Acceptable use

You agree not to misuse the Service. This includes, without limitation, attempting to gain unauthorized access, interfering with other users, transmitting malware, scraping the Service, or using it to violate any applicable law.

We may suspend or terminate accounts that violate these Terms or that pose a risk to the Service or other users.

Subscriptions and billing

Paid plans are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees due. Fees are non-refundable except where required by law.

We may change pricing at any time, but changes to your existing subscription will only take effect at the start of your next billing cycle, after reasonable notice.

Your content

You retain ownership of the data and content you submit to the Service ("Customer Data"). You grant Memberley a limited license to host, process, and transmit Customer Data solely for the purpose of operating and improving the Service.

You are responsible for the legality of Customer Data and for obtaining any consents required to provide it to us.

Intellectual property

The Service, including its software, design, and trademarks, is owned by Memberley, Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You may not copy, modify, reverse-engineer, or create derivative works of the Service except as expressly permitted.

Termination

You may cancel your account at any time from within the Service. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if continued provision of the Service is no longer commercially or legally viable.

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will survive.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Limitation of liability

To the maximum extent permitted by law, Memberley will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.

Our aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months preceding the claim.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
